Leaving OYO: Run Your Hotel Yourself (India)

How to leave OYO and run your hotel independently in India: notice and lock-in, what to check in your agreement, getting OTA listings back, and a step-by-step checklist.

Revenue & Growth

Short answer: To leave OYO and run your hotel yourself, first read your signed agreement for the notice period, any lock-in and the exit charges. OYO's published India Terms of Service allow either party to end the agreement with 30 days' written notice, but your own contract can add a lock-in or advances to repay. Send notice in writing, get a full and final settlement, take back your OTA listings, and have your PMS, channel manager and booking website ready before the last day.

This is general information, not legal advice. Your signed contract decides your rights, so check it with a lawyer or your CA before you send notice.

1. What OYO's published terms say

OYO publishes its partner terms at https://partners.oyorooms.com/terms-of-service. The India section is the starting point, but the commercial terms you signed during onboarding are part of the same agreement and can change the picture.

  • Term and renewal (clause 15(a)): the agreement runs for the term and then auto-extends for 12 months at a time unless terminated.
  • Notice (clause 15(b)): either party may terminate with 30 days' prior written notice without giving a reason.
  • Material breach (clause 15(c)): either party may terminate if the other fails to cure a notified breach within 15 days.
  • On exit (clause 15(e)): accounts are reconciled and fully settled, you honour bookings made up to the termination date, OYO delists the property from its platform, and OYO starts OTA delisting after full and final settlement. You remove OYO branding at your own cost.
  • OTA accounts (clause 9): during the term, OYO manages your OTA listings, may rename them or create new listings under its brand, and may change password recovery details.
  • Notices to OYO (clause 19): the terms give legal@oyorooms.com as the address for notices to OYO.

Older or custom agreements may use different wording. In Pearl Hospitality & Events v. OYO Hotels and Homes (Delhi High Court, 2020), the agreement had a lock-in period, and the court said termination must strictly follow the contract's termination clauses.

2. What to check in your own agreement

  1. Start date, term and whether it auto-renewed.
  2. Notice period and how notice must be sent.
  3. Any lock-in period and the liquidated damages for early exit.
  4. Business advances, transformation investment or other amounts you may need to repay.
  5. Your security deposit or OYO Secure balance and when it is refunded.
  6. Who owns the photos, listing content and guest data.
  7. Bookings already made for dates after your exit, which you may still have to honour.

3. Take back your OTA listings and reviews

Make a list of every channel: MakeMyTrip and Goibibo, Booking.com, Agoda, Airbnb, Google Business Profile and any others. For each one, note the listing name, the login email and who controls it now.

  • Ask the OTA's partner support how to restore your own account or move the listing back to you. Whether existing reviews stay with the listing depends on the OTA and on whether the listing was renamed or recreated, so ask each one.
  • Change passwords and recovery email and phone to your own once you have access.
  • Update the property name, photos, phone number and payment details. OYO's terms say photos OYO took belong to OYO, so plan to shoot your own.
  • Check that your GST and bank details are correct in each extranet before the first payout.

4. Set up direct bookings

Your own website is the channel where you keep the full room rate. Add a booking engine, a payment option such as UPI, and your Google Business Profile link. Collect guest contact details with consent, under the DPDP Act, 2023.

5. Your software stack

  • PMS: front desk, check-in, billing and GST invoices. A step-by-step switch guide covers moving to BitLegacy.
  • Channel manager: keeps rates and rooms in sync across OTAs so you avoid overbookings. See the BitLegacy channel manager.
  • Booking engine: takes direct bookings on your own website.

You can compare plans on the pricing page.

6. Step-by-step checklist

  1. Read the agreement and commercial terms; note notice, lock-in and exit charges.
  2. Get legal or CA advice if there is a lock-in or advance.
  3. Set up your PMS, channel manager and booking engine.
  4. Send written notice to the address and in the manner your agreement requires, and keep proof.
  5. Request a reconciliation statement and raise disputes within the time your agreement allows.
  6. Honour bookings made before termination.
  7. Restore your OTA listings and logins, channel by channel.
  8. Remove OYO branding and update signage, Google and your website.
  9. Collect your deposit or balance as per the settlement.
  10. Go live on your own rates and watch the first payouts.

From BitLegacy: if you are leaving OYO, set up your own hotel software before your notice period ends. Read the switch guide or see pricing.

Frequently asked questions

How much notice do I need to give OYO?

OYO's published India Terms of Service (clause 15) let either party terminate with 30 days' prior written notice without giving a reason. Your signed agreement and commercial terms can differ, for example with a lock-in period, so read your own contract first.

What is a lock-in period and why does it matter?

A lock-in is a period during which early exit can trigger liquidated damages or repayment of advances. Whether you have one, and what it costs, depends on your signed agreement. In a 2020 Delhi High Court case (Pearl Hospitality v. OYO), the court held that termination has to follow the contract's own termination clauses.

Will I get my MakeMyTrip, Goibibo and Booking.com listings back?

Under OYO's India terms (clause 15(e)(iv)), OYO starts delisting the property from OTAs after full and final settlement. Listings may have been renamed or recreated under OYO's name, so contact each OTA's partner support to confirm who controls the listing and how to restore your own account.

What happens to money OYO holds for me?

OYO's India terms say both sides reconcile accounts and make a full and final settlement, and any OYO Secure balance due to you is refunded within 30 days after deductions. Ask for the reconciliation statement in writing; the terms give 7 days to raise disputes on a statement.

Can I contact past guests for direct bookings after leaving?

OYO's terms restrict soliciting guests for direct bookings during the term and say guest data collected under the agreement belongs to OYO. Check your agreement and take legal advice before using any guest list.

What software do I need to run the hotel on my own?

Usually a PMS for front desk and billing, a channel manager to sync rates and rooms across OTAs, and a booking engine for your own website. Set them up before your notice ends so there is no gap.
